- Business Health Assessment – Get the complete review, analysis, and screening of your corporate records, operating agreements, meeting minutes, declarations, and general operations.
- Employment Review – Review of your employee handbook, employee classifications, offer letters, disciplinary processes, severance agreements, and contract employee agreements.
- Transaction Prep – Key clause synthesis, corporate records and minutes review, ledger review, employment review, and risk assessment all meant to give you a turnkey data room and get you miles ahead on potential audits.
Fractional General Counsel
You view legal as a vital partner and demand value in return. You need a person you can trust to blend business, legal, and best practices to cut down deal time, limit risk, and to understand you. Words like "advise" and "recommend" hold as much water as "maybe" and "potentially" for you - cut to the chase and speak in plain English.

As a fractional general counsel you can get all of the benefits of in-house legal counsel with an attorney who believes legal's purpose is integration, not isolation. If you believe in practical law for practical people, I offer the following packages on monthly subscription plans as fractional general counsel.
- Foundations – 15 minute check ins between 9 AM and 5 PM at no charge not to exceed 1 hour per day, general corporate maintenance, two (2) standard form agreement negotiations per month.
- Growth – The Foundations package plus a comprehensive audit of your employment documentation, mergers and acquisitions preparation, and one monthly strategy session (Up to two hours).
- Established – The Growth package plus ownership agreement review and rehabilitation (If necessary), legal and contractual process review, priority scheduling for drafting and needs, quarterly audits for merger and acquisition readiness.
